Acceptance of Terms
By accessing or using the website, products, or services of Liberin Technologies Private Limited ("Liberin AI," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these terms, you must not access or use our services.
Description of Services
Liberin AI provides enterprise artificial intelligence products and services, including but not limited to: Septa (GenAI Analytics platform), Boliye (Voice AI platform), PiiVacy (Privacy Governance and DPDP Act compliance platform), and related consulting, integration, and support services. Service specifications, pricing, and availability are subject to the terms of individual service agreements or order forms executed between you and Liberin AI.
User Obligations
You agree to: (a) provide accurate, current, and complete information when creating an account or engaging with our services; (b) maintain the confidentiality of your account credentials and restrict access to authorized users; (c) use our services only for lawful purposes and in compliance with applicable laws and regulations; (d) not attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from our products; (e) not use our services to process data in violation of any individual's privacy rights or applicable data protection laws; (f) not transmit malicious code, attempt unauthorized access, or interfere with the operation of our services; (g) promptly notify us of any unauthorized use of your account or security breach.
Intellectual Property
All intellectual property rights in our website, products, services, documentation, and proprietary technology — including trademarks, copyrights, patents, trade secrets, and know-how — are owned by Liberin Technologies Private Limited or its licensors. Nothing in these terms grants you any right, title, or interest in our intellectual property except as explicitly stated in a separate license agreement. You retain ownership of your data processed through our services, subject to the licenses granted for service delivery.
Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party during the course of engagement. Confidential information includes, without limitation, business plans, technical data, product roadmaps, pricing, customer data, and trade secrets. This obligation does not apply to information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law.
Limitation of Liability
To the maximum extent permitted by applicable law: (a) Liberin AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill; (b) our total aggregate liability for all claims arising from or related to these terms or our services shall not exceed the amounts paid by you to Liberin AI in the twelve (12) months preceding the claim; (c) these limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless Liberin Technologies Private Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our services in violation of these terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party intellectual property or privacy rights; (d) any data or content you process through our services.
Termination
Either party may terminate these terms: (a) for convenience with 30 days' written notice; (b) immediately if the other party materially breaches these terms and fails to cure such breach within 15 days of written notice; (c) immediately if the other party becomes insolvent, files for bankruptcy, or ceases operations. Upon termination, your right to access our services will cease. We will make your data available for export for 30 days following termination, after which we may delete it. Provisions that by their nature should survive termination (including confidentiality, limitation of liability, and indemnification) shall survive.
Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. Before initiating formal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually agreed upon by both parties.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated with at least 30 days' notice via email or a prominent notice on our website. Your continued use of our services after the effective date of changes constitutes acceptance of the modified terms. If you do not agree with the changes, you must discontinue use of our services before the effective date.
